General terms and conditions of sale

1. Scope
These terms apply to all deliveries of Symatec+ and related services by Symactiv SA to business customers — professional farms, landscaping businesses, municipalities and comparable organisations. We do not sell to private individuals for personal use. Deviating conditions of the customer apply only if we accept them in writing.
2. Offers and conclusion of contract
Our offers are non-binding until confirmed. A contract comes into effect when we confirm an order in writing, or when we deliver.
Offers are valid for 30 days from the date of issue.
3. Prices
Prices are quoted in Swiss francs, excluding VAT. Delivery costs are included in the price.
Minimum order for bundled programmes: half a pallet — 540 kg in 20 kg bags. [PLACEHOLDER — provisional, may change depending on production capacity.] Quantities below a full Big Bag cost more per kg, due to packing and splitting; a full Big Bag remains the cheapest unit. No price indexation mechanism is currently defined.
4. Payment
Invoices are issued at signature or order confirmation and are due within 30 days of the invoice date (net 30). Payment method: bank transfer; an invoice is issued for every order.
Default interest: the Swiss statutory rate of 5 % per annum applies as a fallback where no other rate is agreed.
5. Delivery
Product is delivered once the site-specific application plan has been agreed with the customer. Delivery takes place within the customer’s requested deadline, or within 2 weeks of signature if no deadline is specified. Delivery dates are estimates unless expressly agreed as binding.
6. Storage and handling
The customer is responsible for storing and handling the product in accordance with the product specification. Symatec+ contains living organisms; incorrect storage affects its effect.

7. Application and results
Symatec+ is a soil biostimulant. It is not a fertiliser, a fertiliser replacement or a plant protection product, and it does not replace good agricultural or horticultural practice.
Trial results published by us describe the conditions under which they were obtained. Soil type, climate, crop, existing inputs and management all affect the outcome. We therefore give no guarantee of a specific yield, survival rate or financial result on the customer’s site.
We provide application recommendations in good faith on the basis of the information the customer supplies. The customer remains responsible for the decision to apply the product and for compliance with the rules applying to their operation.
8. Warranty
We warrant that the product conforms to the specification at the time of delivery.
The customer must inspect the goods on receipt and report any visible defect within 2 days, in writing, describing the defect. Hidden defects must be reported within one month. Where a defect is established, we will, at our discretion, replace the goods or credit the purchase price.

9. Liability
We are liable for damage caused intentionally or through gross negligence. Liability for slight negligence is excluded to the extent permitted by law.
We are not liable for indirect or consequential loss, including lost profit, loss of yield, or the cost of replacement plantings.

10. Retention of title
The goods remain our property until payment has been received in full.
11. Intellectual property
Trial reports, application plans, documentation and other materials we supply remain our intellectual property. The customer may use them internally and in tender documents, but may not publish or pass them to third parties without our written consent.
12. Data protection
We process personal data in accordance with our privacy policy.
13. Force majeure
Neither party is liable for delay or non-performance caused by events beyond its reasonable control.
14. Applicable law and jurisdiction
These terms are governed by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods.

15. Severability
If any provision is or becomes invalid, the remaining provisions stay in force. The invalid provision is replaced by one that comes closest to its commercial purpose.
